According to the lawsuit, defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose, among other things, that:

  • the integration of Worldpay with the Fidelity National Merchant Solutions business was not ahead of schedule;
  • the integration of Worldpay with the Fidelity National Merchant Solutions business was not successfully completed during the Class Period;
  • the increases in revenue synergies were not driven by the Worldpay integration; and
  • as a result, the Company’s public statements were materially false and misleading at all relevant times.
