According to the Complaint, defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about SolarEdge’s business, operations, and prospects. Specifically, defendants failed to disclose to investors that:
- SolarEdge’s Company’s distribution channels in Europe had higher than optimal inventory levels;
- as a result, SolarEdge was experiencing substantial cancellations and pushouts of existing backlog from its European distributors;
- as a result, SolarEdge’s backlog and guidance was overstated; and
- as a result, defendants’ statements about SolarEdge’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
