According to the lawsuit, defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that:
- Eagle Pharmaceuticals was experiencing slower-than anticipated pull-through from a wholesale customer predominantly due to expiry of inventory;
- as a result, Eagle Pharmaceuticals had overstated its revenue;
- Eagle Pharmaceuticals did not have effective internal controls and procedures over financial reporting as to PEMFEXY sales; and
- as a result of the foregoing, defendants’ positive statements about Eagle Pharmaceuticals’ business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
