- Power Solutions overstated its ability to capture sales demand for its power systems solutions, particularly within the data center market;
- Power Solutions understated the impact of its enhancements to manufacturing capacity to meet demand within the data center market, including the expected costs and the nature of the related “inefficiencies”; and
- as a result of the foregoing, defendants’ positive statements about Power Solutions’ business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
