According to the lawsuit, defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that:
- three of Gauzy’s French subsidiaries lacked the financial means to meet their debts as they became due;
- as a result, it was substantially likely insolvency proceedings would be commenced;
- as a result, it was substantially likely a potential default under Gauzy’s existing senior secured debt facilities would be triggered; and
- as a result of the foregoing, defendants’ positive statements about Gauzy’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
