According to the lawsuit, during the Class Period, defendants made false and/or misleading statements and/or failed to disclose that:
- a large commercial partner would not renew a large contract on the same terms;
- as a result, Digimarc would renegotiate the large commercial contract;
- as a result of the foregoing, Digimarc’s subscription revenue and annual recurring revenue would be adversely affected; and
- as a result of the foregoing, defendants’ positive statements about Digimarc’s business, operations, and prospects were materially misleading or lacked a reasonable basis.
